DialedRx — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Biaxis Technology LLC ("DialedRx," "we," "us"), governing your use of the DialedRx application and related services (the "Service"). By creating an account, accepting these Terms, or using the Service, you agree to these Terms, our Privacy Policy, and our Health & Fitness Disclaimer. If you do not agree, do not use the Service.

Please read this first — DialedRx is in early access (beta). The Service is provided as is and as available. Features are still being built and may change, break, or be withdrawn. Programming and imported data may be incomplete or incorrect. Section 12 explains what that means for you, and Sections 13 and 14 limit our warranties and our liability. Read all three before you rely on the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using it you represent that you meet this requirement and that the information you provide is accurate.

2. The Service

DialedRx is a software tool that helps you plan, adjust, track, and review workouts, and that helps coaches manage athletes. DialedRx is a technology platform only. We are not a gym, a medical provider, a physical therapist, a licensed trainer, or a healthcare professional, and we do not provide medical or professional fitness advice. See the Health & Fitness Disclaimer, which is incorporated by reference.

3. Accounts

You are responsible for your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You may not share, sell, or transfer your account.

4. Coach–athlete relationships

The Service lets a "coach" connect with "athletes." Any coaching, programming, or advice exchanged is solely between the coach and the athlete. DialedRx is not a party to that relationship, does not employ or supervise coaches, does not verify a coach's qualifications, and is not responsible for any coach's conduct, programming, or advice. Coaches accept additional terms in the Coach Agreement.

5. Subscriptions, billing, and credits

Some features require a paid subscription or consumable credits. Pricing, renewal, cancellation, refunds, and auto-renewal disclosures are described in the Subscription Terms, incorporated by reference. Consumable credits (e.g., AI parsing credits) are non-refundable once purchased except where required by law.

6. Acceptable use

You agree not to: (a) use the Service unlawfully or to harm others; (b) upload content you lack the rights to; (c) reverse engineer, scrape, or overload the Service; (d) misrepresent your identity or qualifications; or (e) use the Service to provide medical advice you are not licensed to give.

7. Your content

You retain ownership of the content and data you submit ("User Content"). You grant DialedRx a limited, worldwide, non-exclusive license to host, process, and display your User Content solely to operate and improve the Service for you (and, where you have connected to one, your coach). We do not sell your personal data.

8. Intellectual property

The Service, including its software, design, and brand ("DialedRx" name, logo, and Pine visual system), is owned by DialedRx and its licensors and is protected by law. These Terms grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes (or, for coaches, to manage your athletes as permitted).

9. AI and automated programming

DialedRx uses artificial intelligence to read workouts you paste or photograph, to generate and adjust programming, and to support the constraint-aware engine. The following applies to all of it.

  • Informational only. AI-generated workouts, plans, prescriptions, and parsed results may be incomplete, inaccurate, or simply wrong. They are informational only. They are not medical advice, physical therapy, diagnosis, or professional fitness instruction.
  • Software, not judgment. The constraint-aware engine filters movements and suggests substitutions and adjustments by applying rules to the data you enter. That is an automated software result, not clinical or professional judgment, and it does not replace a physician, physical therapist, or qualified coach.
  • You review before you train. You are responsible for reviewing any workout, movement, load, or substitution before you perform it, for deciding whether it is appropriate for you, and for stopping if it is not. The Health & Fitness Disclaimer governs your assumption of risk.
  • Where your inputs go. Text and photos you submit for AI processing are sent to a third-party AI provider so it can return a structured result. Inputs submitted through that provider's API are not used to train that provider's models. The provider is named in our Privacy Policy.
  • Ownership of output. As between you and DialedRx, the programming output generated from your inputs is yours, to the extent it is yours to own, and we claim no ownership over it. AI output is not necessarily unique — comparable output may be generated for other users — and we make no representation that it is protectable or free of third-party rights.

10. Third-party services and optional integrations

The Service relies on third-party providers (for example, hosting, database and authentication, payment processing, and AI text processing). Your use may be subject to their terms, and we are not responsible for their acts or omissions.

You may also choose to connect an optional third-party account, such as Strava, so that activity and heart-rate data flows into DialedRx. Connecting is entirely at your option, and the Service works without it. If you connect one, you authorize us to receive data from that service on your behalf, and your use of that service stays governed by its own terms and privacy policy. We do not control those services and are not responsible for their availability, accuracy, security, or practices, and we may stop supporting an integration at any time. You can disconnect at any time in DialedRx and separately revoke our access from within that service's own settings. Our Privacy Policy describes what is imported.

11. Copyright and notice-and-takedown

Users can upload photos and text to the Service. Do not upload content you do not have the rights to use.

If you believe material on the Service infringes your copyright, send a written notice to our designated contact at contact@dialedrx.ai, or by mail to Biaxis Technology LLC, Attn: Copyright, 3423 Piedmont Road NE, Atlanta, GA 30305. Please include: (a) your name and contact information; (b) identification of the copyrighted work you say was infringed; (c) identification of the material you believe is infringing, with enough detail for us to locate it; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and (f) your physical or electronic signature.

We review notices promptly and may remove or disable access to the material. If your material was removed and you believe that was a mistake or a misidentification, you may send a counter-notice to the same contact with the corresponding information. We may suspend or terminate the accounts of repeat infringers.

12. Early access (beta)

DialedRx is offered on an early-access (beta) basis. That means:

  • Features are under active development and may be added, changed, limited, or withdrawn at any time, with or without notice.
  • The Service may contain bugs and gaps, may be interrupted, and may be unavailable for periods of time.
  • Generated programming, calculations, and imported data may be incomplete or incorrect, and should be checked before you rely on them.
  • Early access does not entitle you to any particular feature, service level, uptime, or support response time.

We may end the beta, change how the Service is packaged, or discontinue the Service. If we discontinue it, we will give reasonable notice and, where practicable, a way to export your data first. You can export your data at any time from Settings → Legal & data.

13. Disclaimers of warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR- FREE, OR THAT ANY FITNESS RESULT WILL BE ACHIEVED.

This includes, without limitation, the early-access conditions described in Section 12 and the AI-generated output described in Section 9.

14. Assumption of risk & limitation of liability

Physical exercise carries inherent risks. You assume those risks as described in the Health & Fitness Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALEDRX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless DialedRx from claims arising out of your use of the Service, your User Content, your breach of these Terms, or (if you are a coach) your coaching relationships.

16. Changes to these Terms

We may update these Terms. When we make a material change, we will publish a new version and require you to accept it before continuing to use the Service. The version you accepted, and the date, are recorded. Your continued use after a required re-acceptance constitutes agreement to the updated Terms.

17. Termination

You may stop using the Service and delete your account at any time (see the Privacy Policy for data deletion). We may suspend or terminate access for breach of these Terms or as required by law.

18. Governing law & dispute resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. You and DialedRx agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and each party consents to the personal jurisdiction and venue of those courts.
